Westhaven Gold is a gold and silver exploration and development company focused on high-grade, epithermal mineralization within the Spences Bridge Gold Belt in southern British Columbia, controlling ~60,263 hectares across four properties. The flagship Shovelnose gold project is supported by a 2025 Preliminary Economic Assessment outlining an 11-year underground mine producing an average of 56,000 oz gold and 313,000 oz silver annually, with a CDN$454M after-tax NPV and 43.2% IRR.1

In February 2026, Westhaven closed a strategic earn-in agreement with Dundee Corporation, under which Dundee may earn up to a 60% interest through staged expenditures of up to CDN$85M. Phase one commits a minimum of CDN$30M, including a fully funded 50,000m drill program at Shovelnose in 2026, accelerating the development of one of Canada's most compelling undeveloped gold and silver assets.

Ken Armstrong is a seasoned exploration and mining professional with over thirty years of experience, including twenty years as a corporate executive for publicly listed exploration and mining companies covering a range of commodities including diamonds, gold, nickel, and tin. Ken has a distinguished track record in mineral exploration, corporate leadership, and strategic project development and has also received recognition for excellence in community and government engagement. His diverse leadership roles include serving most recently as CEO and director of North Arrow Minerals, Director and Interim CEO of Cornish Metals Inc., Executive Director of the NWT and Nunavut Chamber of Mines, and previously leading Strongbow Exploration Inc. (now Cornish Metals Inc.). He is a registered Professional Geoscientist in the Northwest Territories, Nunavut, and the Province of Ontario.

Zara Boldt is a respected Canadian mining finance leader with +20 years expertise in public company finance, governance, and strategic business development. Ms. Boldt is a professional accountant (CPA, CGA) who served most recently as the CFO & Corporate Secretary of Lucara Diamond Corp. where she was responsible for arranging a US$220 million project loan for the Karowe underground expansion project. Prior to Lucara, Ms. Boldt served as the CFO & Corporate Secretary of Kaminak Gold, where she was responsible for corporate due diligence and the negotiation, documentation, and execution of a Plan of Arrangement for an acquisition transaction valued at $520 million. Prior to Kaminak, Ms. Boldt was the Vice-President, Finance & CFO for Stornoway Diamond Corporation where she was a member of the senior management team responsible for arranging financing in excess of $900 million for the development of the Renard Diamond Mine in Quebec. In addition to her previous executive roles, Ms. Boldt has served as an independent director for several Canadian listed companies. Ms. Boldt is currently an independent director of Women in Mining B.C. and Big Sisters of B.C. (Lower Mainland).

Her background includes senior roles at the JDS Group of Companies, Sun Peak Metals Corp., VRIFY, Finning, and Goldcorp Inc., where she built and executed strategic communications programs that enhanced global brand visibility and strengthened investor engagement. 

Ms. Gattens holds a Graduate Diploma in Business Administration from Simon Fraser University and a Bachelor of Political Science and Economics from the University of Victoria. She is also certified in ProSci® Change Management and previously served for three years as a Director of Women in Mining British Columbia.

Pamela O’Hara brings more than 30 years of expertise advancing mining and transportation infrastructure projects, including work at Ekati, Voisey’s Bay, Minahasa Raya, Wolverine, Hope Bay, and Macpass, as well as for the Canadian Pacific Railway and Port of Vancouver. A Registered Professional Biologist and Certified Sustainability (ESG) Practitioner, she is known for delivering innovative, community-focused projects and effectively navigating complex regulatory environments. In recent years, she has served as Vice President of Sustainability at Fireweed Metals Corp., as a permitting advisor for Newmont’s Brucejack Mine, and as a Director on the boards of the Yukon Chamber of Mines and Western Copper and Gold. Pamela holds a B.Sc. in Biology and Oceanography from the University of British Columbia and an M.Sc. in Environment and Management from Royal Roads University.

Ms. Rippin Armstrong is a biologist and environmental scientist with over 30 years of experience in permitting, regulatory processes, and environmental compliance, working with resource companies, and Indigenous, territorial, provincial, and federal governments. Her project experience spans northern Canada, British Columbia, and Alaska, and includes senior sustainability roles at the Ekati Diamond Mine, Lucara Diamond Corp.'s Karowe Diamond Mine in Botswana, and Kaminak Gold Corp. Ms. Rippin Armstrong currently serves on the boards of Tectonic Minerals, the Alberta Energy Regulator, the Alberta Environmental Appeals Board, and the Alberta Public Lands Appeal Board. Her contributions have been recognized with numerous awards, including the Kivalliq Inuit Association Expert Counsel Award (2009), the Mike Hine Award in Nunavut (2011), and the BC Women in Mining HR Diversity Award (2019).

Prior to Goldcorp he was the Operations Manager for Kaminak Gold Corporation’s Coffee Gold Project.

Ryan’s experience includes all aspects of operations, logistics and supply chain management. He has been a team leader in environmental sustainability, Indigenous engagement, as well as implementation of policies, procedures and regulatory legislation for several successful projects.

Robin Hopkins is a professional geologist with almost 40 years' experience exploring for non-fuel minerals throughout Canada, Greenland and southern Africa. Starting in early 2020, Mr. Hopkins has provided technical advice to Westhaven related to the Company's properties in the Spence's Bridge Gold Belt. Prior to his work with Westhaven, he served as Vice-President of Exploration for Stornoway Diamond Corporation (2006 to 2019) and the Chief Technical Officer of Stornoway's predecessor company, Stornoway Ventures Ltd. (2003 to 2006). Between 2000 and 2004, Robin was Vice-President, Exploration for Navigator Exploration Corporation, and prior to that a key member of the Aber Resources Ltd. team that discovered the Diavik Diamond Project pipes in the Northwest Territories in 1994. Robin is a graduate of the University of Waterloo (H.B.A.Sc. Earth Sciences).

Ms. Thomas brings more than 30 years of experience in the mining industry, including 14 years with Aber Diamond Corporation (now Dominion Diamond), where she served in ever increasing roles from initial discovery as a geologist to Vice President Exploration and ultimately a Director of the Board. She was co-founder of Stornoway Diamond Corp., serving first as CEO and then as Executive Chairman. There she led the acquisition of the Renard diamond deposit, which subsequently became Quebec's first diamond mine. In 2007, she founded Lucara with partners Mr. Lukas Lundin and Ms. Catherine McLeod Seltzer and served as CEO between 2018 and 2023. Eira also served as CEO of Kaminak Gold Corporation, which was acquired by Goldcorp in 2016 for $520 Million and served as a Director of Suncor Energy for 17 years.

Mr. Anderson is the founder, CEO and a director of Dalradian Resources Inc. where he has led the discovery of over 6 million ounces of gold at the Curraghinalt deposit in Northern Ireland, resulting in a $537 million go-private transaction. He previously co-founded and was President and CEO of Aurelian Resources Inc., overseeing the discovery of the 13.7-million-ounce Fruta del Norte epithermal gold-silver deposit in 2006 which was subsequently acquired for $1.2 billion and is now Lundin Gold’s flagship asset. Mr. Anderson has been named Mining Man of the Year by The Northern Miner and received the PDAC’s Thayer Lindsley award for an international mineral discovery. He recently served as Lead Independent Director for Osisko Mining in its $2.2 billion acquisition by Gold Fields Ltd., and is currently CEO of Dalradian Resources (privately-held) and Chairman of Cornish Metals PLC.

From 2012 to 2018 he served as Senior Vice-President Projects of Lundin Mining during which time he led the very successful Eagle Mine in Michigan’s Upper Peninsula into production. Hannah McDonald's practice focuses on the economic development of First Nations across Canada, with the protection of Aboriginal rights and title interests, environmental conservation, and culture and tradition. She advises on land and resource issues including land claims, the negotiation and implementation of resource sharing agreements, Aboriginal rights and title, matters under the Indian Act, First Nation governance issues and various corporate matters. Ms. McDonald is a member of the Metis Nation of B.C., with her family originating from the Esketemc First Nation.

Ms. McDonald graduated from the University of British Columbia Law School and holds an undergraduate degree in Communications from Simon Fraser University.

Whistleblower Policy

The purpose of this Policy is to encourage the reporting of breaches of the Corporate Governance Policy, or any other Westhaven Gold policy, any violation of law or other corporate misconduct or any accounting, internal accounting controls or auditing matters.

While reporting would generally occur through the normal channels within Management of the Company, there may be instances where an individual believes it is inappropriate or it is difficult for such matters to be reported through these channels.

In these cases, Westhaven Gold believes it is important that employees or others have an avenue through which to express concerns in a way that protects them from retaliation by the Company and protects their identity.

This Policy applies to directors, officers, full time and part time staff of Westhaven Gold. Any third party, however, may use the complaint procedures outlined in this Policy to make the Company aware of a reportable matter.

Any person reporting a concern under this Policy is referred to as a whistleblower. The Company encourages the reporting of breaches of the Code, any other Westhaven Gold policy, any violation of law or other corporate misconduct or any accounting, internal accounting controls or auditing matters that involve the Company or its employees in any way.

Information a Whistleblower Needs to Report

To assist the Company in the response to or investigation of a concern, the report should contain as much specific, factual information as possible to allow for proper assessment of the nature, extent and urgency of the matter.

If possible, you should include the following information:

  • details of the event, matter or issue that is the subject of the report
  • the name of each person involved;
  • if the complaint involves a specific event or events, the approximate date and location of each event; and
  • any additional information, documentation or other evidence available to support the complaint.

The Chair of Audit Committee will ensure that all reports are investigated promptly and appropriately. Depending on the outcome of the investigation, the Chair of the Audit Committee will ensure that appropriate corrective and disciplinary actions are taken.

The Company will maintain the confidentiality or anonymity of the whistleblower to the fullest extent possible, as permitted by law and by the investigation. In some cases, however, it may not be possible to proceed with or properly conduct a complete investigation unless the whistleblower identifies himself or herself. Whistleblowers should be cautioned that their identity might become known for reasons outside of the control of the Company as a result of the investigation.
